Look at it from Google's Perspective. It is also beneficial for them.

1) Merger fails, beneficial for Google
2) Yahoo's stock falls, beneficial for Google (they can start hiring Yahoo engineers instead of letting them go to MS)
3) Yahoo's stock climbs further, beneficial for Google
4) Merger continues, by that time, many Yahoo engineer's already left or working for Google
5) Regardless of what happen, Yahoo just bowed down to Google, so Google is gaining more and slowly eating Yahoo behind-the-scenes

One will wonder why Google isn't doing much noise ;) They will win regardless which result becomes a reality. They just can't buy Yahoo unless they want MS to file a lawsuit, but if Yahoo offers itself to Google.......

I'm off line for a while and see what happens. I really thought MS would do a hostile takeover. Big trouble for MS. Yahoo was one of their potential keys to rival the Google juggernaut. Wonder how they will fix their business with all the Vista stumbling.
